THIS AGREEMENT (the "Agreement") is entered into as of this ____ day of ___________, 2004 (the "Effective Date"), by and between. [name of NEWCO], a _______________________________ ("Owner"), and TROON GOLF JAPAN LLC, a U.S. Delaware limited liability company operating as a branch in Japan, whose principal business address is Imperial Tower 10F, 1-1-1, Uchisaiwai-cho, Chiyoda-ku, Tokyo, Japan 100-0011 ("Troon”), each a “Party” and collectively the “Parties”.
鉴于:
(A) 特龙及其联合公司,致力于有关高尔夫设施的发展、管理和运作的咨询顾问事务;和
(B) 业主拥有或有权拥有场地之独立产权并愿意在该场地发展一所{sjj}18 洞高尔夫球场和相关的高尔夫设施 ("高尔夫球场"); 业主希望能利用特龙的服务和经验及相关的设备协助高尔夫球场的发展，并聘请特龙监督和指导高尔夫球场的管理，特龙同意本协议中列出的条款和条件提供此类服务，提供其经验以建立，监督和指导高尔夫球场的管理。

NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, Owner and Troon hereby agree as follows:

“Affiliate” means any corporation or other entity
controlled by, controlling or under common control with Troon or
Owner, as applicable.
“Affiliated Facilities” means all golf course facilities managed or operated under the Troon brand throughout the world;
关联设施意谓全球范围内以特龙品牌进行管理或运作的高尔夫球场设施。
“Deemed Revenue” means revenue that would have otherwise been included in Gross Revenues but for the Owner permitting use of the Facility at no cost, or at a rate discounted to the schedule of rates in force at any time, which shall include but not be limited to attaching free or reduced rate golf privileges to the residential units in the Project;
“信用收入”意谓本应包括在总营业收益中，但经业主同意可以无偿或根据任何时间有效的打折后价格使用高尔夫设施。信用收入应该包括但不局限于向项目范围中居住单元的使用者赋予免费或减价的高尔夫球场使用特权所得的收入。
“Excluded Revenue” means any gratuities or service charges distributed as compensation to the Facility’s employees; any credits or refunds made to customers, guests or patrons; any sums and credits received by Owner for lost or damaged merchandise; any sales taxes, excise taxes, or other similar taxes or charges; any proceeds from the sale or other disposition of the Facility, FF&E, or other capital assets; any property and/or liability insurance proceeds (other than business interruption insurance);
“额外收入”意谓任何作为高尔夫雇员补偿的赠物或服务费；任何给予客户、贵宾或赞助人的银行存款或退款；任何业主由于商品损失或损坏得到的金额或银行存款；任何销售税、消费税或其他类似税费或手续费；任何来自高尔夫设施及家具，装修和设备的销售或其他处理方式得到的收益；其他资本资产；任何财产及/或责任保险（业务中断保险）等。
"高尔夫设施"“Facility” means a collective term for the Golf Course, the Improvements and the FF&E;
“高尔夫设施”意谓包括高尔夫球场、维护设备和家具，装修和设备的综合性条款，
"支付费用"“Fees” means the Monthly Fee, the Incentive Fee, and the Cooperative Sales and Marketing Fee;
"支付费用"意谓每月费用，提成以及合作销售和市场营销费用。
" 会计年度"“Fiscal Year” means that period commencing on 1 January and ending on 31 December;
" 会计年度" 意谓每年的一月一日开始至十二月三十一日为止的时期。
"装置和设备"“FF&E” means all fixtures, furnishings, furniture and equipment used in the operation of the Facility;

"总营业利润" “Gross Operating Profit” means the amount, if any, by which Gross Revenues exceed Operating Costs in the Stub Period or in any Fiscal Year; (as calculated in accordance with GAAP (as defined below);
"总营业利润"意谓在剩余时期或任何财政年度中总收入额超过营业费用支出的利润（根据GAAP(根据以下定义)计算）
"总营业收益"“Gross Revenues” means the aggregate
of all revenues of any nature derived directly or indirectly from
the use, occupation or operation of the Facility, including but not
limited to green fees, gross sales proceeds from the sale of and
transfer of memberships to the Facility, monthly dues from members
of the Facility, Deemed Revenue, rental fees for golf carts, golf
clubs and other rental items, net proceeds from lesson fees, range
ball fees, net golf academy fees, food and beverage sales
(excluding sales of alcoholic beverages), revenue generated from
space rentals and from meetings, banquets, parties, receptions,
tournaments and other group gatherings, merchandise, clothing and
equipment sales, rental or other payments from lessees and
sublessees of space in the Facility, the proceeds of business
interruption or similar insurance and the Residential Levy but
excluding Excluded Revenue;.
"总营业收益"意谓从高尔夫设施的使用、占用期或经营中直接或间接得到的各种性质的收入总和，包括（但不仅仅局限于）绿化费用收入、销售收益及将高尔夫设施的会员资格转让的销售总额收入、高尔夫设施会员的每月会员费、信用收入、租用高尔夫车、高尔夫俱乐部以及其他的租借费收入、授课的纯收入、range ball 收费、高尔夫学院纯收入、食品饮料销售收入、场地，会议，宴会，招待，邀请及其他团体聚会收入、商品，服装及设备销售收入、高尔夫设施场地的承租人及转租人租借或支付得到的收入、经营中断或类似保险收入、除额外收入外的住宅征收收入等。总营业收入依照美利坚合众国一般公认的会计准则，始终采用GAAP标准根据权责发生制确定。
“Improvements” means all buildings, structures and improvements now located or hereafter constructed on the Site and all fixtures and equipment attached thereto;
“高尔夫设施修缮”意谓目前设位于施现场或将要建造的所有楼宇、结构以及所有的有关装置和设备。
“提成”“Incentive Fee” means an amount equal to six percent (6%) of Gross Operating Profit;
"提成"意谓相当于总营业利润6%的金额
“IAS” means International Accounting Standards;
“Management Services” mean the services to be provided by Troon with respect to supervising and directing the management and operation of the Facility, as more fully set forth herein, throughout the Term.
"管理服务"意谓特龙所提供的服务，涉及监管和意谓导高尔夫设施的管理和运作，这在整个条款中有详细叙述。
"月费"“Monthly Fee” means the sum of $14,583 per month;

开张之日“Opening Day” means the day on which Troon, in its reasonable discretion, determines that the Golf Course is ready for public play;

经营费用“Operating Costs” means the aggregate of all costs
and expenses of maintaining, operating and supervising the Facility
which are not properly capitalized but instead are normally charged
as a current expense including without
limitation:
“经营费用”意谓花费在高尔夫设施上的所有维护、运作及管理的费用和开支。这些开支并不作为资本投入，而作为经常性开支的支出。其开支项目包括（不仅jx于此）（a）食品、饮料（包括酒精饮料）、物资和设备的花费；（b）员工开销（不仅jx于此），如工资、薪金、员工福利、工资税、奖金、假日工资、病假工资、分红、税金递延补偿、退休计划及\或者养老金缴款、招聘或辞退员工所用花费、签证花费、住房补贴、汽车补贴、服务津贴终结费以及所有其他根据中华人民共和国有关法律支付的雇佣费用等。（c）直接与高尔夫设施有关的广告和促销费用。（d）高尔夫设施管理和一般费用。（e）与特龙有关的所有可报销费用。（f）根据本和约而购买的所有保险费（财产险保险费除外）（g）公共事业费和能源费。（h）场地与景观维护费。（i）水费。（j）日常维护与修理费。(k)经营许可证、通行证等证件费用。（l）信用卡和旅行代理费、（m）月费、合作经营销售与营销费用等。
